1. Definitions

• "Services" means all SaaS platforms, development services, design services, AI/RAG application development, WhatsApp automation services, and any related deliverables provided by AIVCJ
• "Platform" means any SaaS software application developed, operated, or maintained by AIVCJ
• "Subscription" means a recurring agreement to access and use a Platform for a specified period
• "Deliverables" means all work products, including code, designs, documentation, and applications, produced under a service engagement

2. Services Overview

2.1 SaaS Platform Services

We offer subscription-based access to our software platforms. Access is granted on a per-subscription basis and is subject to the specific plan, features, and usage limits agreed upon at the time of purchase. We reserve the right to modify, update, or discontinue platform features with reasonable notice.

2.2 Development & Design Services

We provide custom web application development, mobile application development (native and cross-platform), UI/UX design, and related services. All development work is governed by a separate Statement of Work (SOW) or project agreement that outlines scope, timelines, milestones, and payment terms.

2.3 RAG Application Development

We develop AI-powered applications leveraging retrieval-augmented generation technology. These services include system design, data pipeline development, model integration, testing, and deployment. Performance of AI components depends on data quality, model capabilities, and integration factors, and specific outcomes are not guaranteed.

2.4 WhatsApp Automation Services

We develop and manage WhatsApp Business API integrations and automation workflows. Use of WhatsApp automation services is subject to WhatsApp's Business Terms and Policies. You are responsible for ensuring your use of WhatsApp automation complies with all applicable laws and WhatsApp's policies regarding messaging, opt-ins, and user consent.

3. Account & Access

If you create an account on any of our Platforms, you are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must notify us immediately of any unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Payment Terms

• SaaS subscriptions are billed according to the selected plan (monthly, quarterly, or annually)
• Development services are billed as per the agreed SOW — typically milestone-based or time-and-materials
• All fees are exclusive of applicable taxes including GST
• Late payments may incur interest at 1.5% per month on the outstanding amount
• Subscriptions not cancelled before the renewal date will auto-renew at the prevailing rate

5. Intellectual Property

5.1 SaaS Platforms

All intellectual property rights in our SaaS platforms, including source code, architecture, algorithms, and design, remain the exclusive property of AIVCJ. Your subscription grants a limited, non-exclusive, non-transferable licence to use the platform for the subscription term.

5.2 Custom Development

Unless otherwise agreed in the SOW, intellectual property in custom deliverables transfers to you upon full payment. We retain the right to reuse general knowledge, techniques, and non-client-specific components (libraries, frameworks, tools) developed during the engagement.

5.3 AI Models & Data

You retain ownership of your data used in RAG applications. We retain rights to proprietary AI architectures, training methodologies, and general-purpose components. Pre-trained models used in our solutions may be subject to their respective licences.

6. Acceptable Use

You agree not to:

• Use our services for any unlawful, fraudulent, or harmful purpose
• Attempt to reverse-engineer, decompile, or extract source code from our platforms
• Resell, sublicence, or redistribute access to our platforms without written consent
• Transmit malware, spam, or any content that violates third-party rights
• Use WhatsApp automation to send unsolicited messages or violate WhatsApp's policies
• Exceed usage limits or attempt to circumvent platform restrictions

7. Service Availability & Support

We strive to maintain high availability of our platforms and services. However, we do not guarantee uninterrupted access. Scheduled maintenance, emergency fixes, and force majeure events may cause temporary downtime. Support is provided during business hours (Monday–Saturday, 10:00 AM–7:00 PM IST) via WhatsApp.

8. Data Protection

Our handling of your data is governed by our Privacy Policy. For SaaS platform users, we act as a data processor for client data. You are responsible for ensuring that your use of our services complies with applicable data protection laws, including obtaining necessary consents from your end users.

9. Limitation of Liability

To the maximum extent permitted by law:

• AIVCJ shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services
• Our total liability for any claim shall not exceed the total fees paid by you in the twelve (12) months preceding the claim
• We do not warrant specific results from AI/RAG applications, as performance depends on multiple factors beyond our control

10. Termination

• SaaS subscriptions may be cancelled with 30 days' written notice before the next renewal date
• Development projects may be terminated as per the SOW terms, with payment due for all work completed
• We may terminate or suspend services immediately for material breach of these Terms
• Upon termination, your access to platforms will be revoked and data will be available for export for 30 days

11. Warranties & Disclaimers

We warrant that our services will be performed with reasonable skill and care. Except as expressly stated, all services are provided "as is" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Indemnification

You agree to indemnify and hold AIVCJ harmless from any claims, damages, or expenses arising from your use of our services, your violation of these Terms, or your violation of any third-party rights, including WhatsApp's policies.

13. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Jodhpur, Rajasthan. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

14. Amendments

We reserve the right to update these Terms at any time. Material changes will be communicated via our website or email. Your continued use of our services after such changes constitutes acceptance of the updated Terms.
